Japan law could cost foreign investment banks

Japan's Ministry of Justice has refused to amend a controversial bill that could cost international investment banks hundreds of millions of dollars, making it likely that the proposed law will be passed unchanged by the upper house of parliament this week, lawyers said.

なお、日本の法務省が躍起になっている「火消し」の努力についても、あっさりと切り捨てていたりします。

The MoJ has offered a "favourable interpretation" of the bill that it claims means most international companies will not have to re-incorporate. The ministry has stated in a Diet session that any company that does business only in Japan would not be treated as a quasi-foreign company "if it has a plan to do business overseas".

The lawyer said: "The key question then becomes 'what constitutes a plan?' On this there has been no guidance."

The MoJ has claimed this favourable interpretation shows it has listened to the concerns of the business community, but lawyers said this "solution" provides no certainty as there is no guarantee the MoJ's interpretation will always be the official interpretation.

まあ、私も海外のクライアントに、「この法務省解釈の法的意味は何だ?」と聞かれると・・・裁判所を拘束するものではないけど、日本の裁判所が解釈するときの一つの有力な参考にはなるかも・・・でも、文言からは読むのが難しい、これを「解釈」と呼んでいいのかは微妙だよな・・・と、しどろもどろになりそうなんで、この反応自体はわからなくもないのですが・・・実は、この記事によると外資系金融機関には昔MOFにはしごを外された経験を根に持っているところがあるようです。

At a meeting last Thursday between the FSA and the international investment banks, the regulator sought to reassure the banks that the MoJ's solution should provide them with "comfort" but bankers in Tokyo said they were not reassured.

They said that in the past authorities in Japan have selectively interpreted rules and regulations to penalise foreign companies, providing international investment banks with no assurance that they should trust their future legal status to the MoJ's interpretation.

ただ、この問題全体についていえば、今回の件についての反応は過剰に過ぎるような気もしますし、これに簡単に屈していたら国家としての威厳もへったくれもなくなります・・・というような話をガーッと書いていたら、ちょっとした手違いでデータ消失・・・というわけで、気力が萎えたので、この話の続きはまた気が向いたらということで^^;

NYTimesにこのタイミングで載るというのがすごいですねぇ。そちらでは皆さん、何のことだという感じなのでは?実務からすると今の段になって参議院で未知のC案修正なんてことになる方がよほど厄介だと思うんですけど(;^_^A。まぁないんじゃないかと思いたいですが。

「未知のC案」・・・怖いですね。ただ、個人的には、禁止形での条文形式をやめて、本来の趣旨どおり擬似外国会社を認めるが連帯責任とストレートに書く方がいい気はしています。あと、もう一つ実質的なところでサービスをするとすれば、代表者の責任に検索・催告の抗弁(ないし同等の手続的ハードル)を認めてあげる辺りかなという気はしています。
まあ、私自身は、元々要綱案のB案でいいんじゃないの(レース楽しみ^^)派なんですが、外圧に屈してB案に戻るというのは、いかにも業腹なので

そうですねえ、さすがに今回の件は証券化リーグの方々も外資系証券の方々とは対応が違うような気がしますね。大体、格付けの時にケイマンSPCの東京の管理者に何の責任も生じないなんてスキーム出して格付け機関がスルーさせてくれるとは・・・いまはスルーなんですかねえ・・・だとしたら時代が変わったってことなんでしょうかねえ。ちょっとたそがれてしまいます(^^;)。ちなみに検索・催告の抗弁・・・いいですねえ、ろじゃあは不真正連帯債務にしてあげたら・・・なんてこと考えてたんですけど、47thさんのほうがよさそうですねえ。
